Terms And Conditions

Welcome to Octaads Media Private Limited. This Affiliate Service Agreement establishes a formal agreement between Octaads Media, which operates under the names “We,” “Us,” and “Our,” and you who operate as the Affiliate, Publisher, or You.

You need to finish your platform registration because it shows you have read and understood the terms, which you agree to follow. Our organization values its partnership relationships. So we ask you to study this document completely before joining our network because it explains all the professional duties we share with each other.

 

1. CORPORATE IDENTITY & JURISDICTION

1.1. Entity Name: Octaads Media is a Private Limited Company incorporated under the Companies Act 2013.

1.2. Registered Office: The registered office of the company is at Gomoh, Dhanbad, Jharkhand.

1.3. Corporate Headquarters: The company is based out of its corporate office located at Coworkkeys – Golf Course Road, Plot No. 38, Saraswati Kunj – second floor, Near Vatika Tower, Sector 54, Gurugram, Haryana 122003, IN.

1.4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India, and the interpretation of its provisions shall be in accordance with Indian laws of the contract. The courts at Gurgaon (in the State of Haryana only) shall have exclusive jurisdiction in relation to all such disputes. Which arise from this Agreement.

 

2. ENROLLMENT AND ELIGIBILITY

2.1. Application: To become an Affiliate, you must complete the registration process on our website or tracking dashboard. We reserve the right to accept or reject any application at our sole discretion. 

2.2. Accuracy of Information: You must provide accurate and complete information during registration, including your legal name, address, contact details, and payment information (PAN and GST details). 

2.3. Age Requirement: You must be at least 18 years of age to enter into this Agreement. 

2.4. Account Security: You are responsible for maintaining the confidentiality of your account credentials. Any activity occurring under your account is your responsibility.

 

3. AFFILIATE RESPONSIBILITIES & PROMOTIONAL GUIDELINES

3.1. Authorized Promotion: You may only promote the offers (Campaigns) provided within the Octaads Media dashboard. You must follow the specific instructions and restrictions listed for each individual campaign. 

3.2. Creative Assets: You must only use the banners, links, and creative materials provided by Octaads Media or approved by us in writing. You may not modify these assets without prior consent. 

3.3. Compliance with Brand Guidelines: When promoting major brands (e.g., Ajio, Tata 1mg, etc.), you must adhere to their specific brand identity guidelines. You shall not use any trademarked terms in a way that suggests an official partnership between you and the brand. 

3.4. Ethical Marketing: You agree not to engage in any deceptive, misleading, or unethical marketing practices. This includes, but is not limited to:

  • False claims regarding products or services.
  • Hidden “invisible” frames or toolbars.
  • Forced clicks or automatic redirects.

 

4. PROHIBITED ACTIVITIES (ZERO TOLERANCE POLICY)

4.1. Fraudulent Traffic: Octaads Media has a zero-tolerance policy for fraud. Prohibited activities include:

  • Cookie Stuffing: Placing cookies on a user’s computer without their knowledge or an actual click.
  • Bot Traffic: Using automated scripts or bots to generate clicks, leads, or sales.
  • Incentivized Traffic: Offering rewards or “cashback” to users to click on links, unless the specific campaign explicitly allows “Incentive” traffic.
  • VPN/Proxy Use: Generating conversions through VPNs or proxies to mask the user’s true location. 

4.2. Spamming: You shall not promote offers via unsolicited bulk emails (SPAM), SMS, or unauthorized social media postings. 

4.3. Search Engine Marketing (SEM) Restrictions: Unless explicitly permitted, you are prohibited from bidding on brand-specific keywords (e.g., bidding on the word “Ajio” or “Netmeds”) in Google Ads or Bing Ads.

 

5. TRACKING AND COMMISSIONS

5.1. Tracking System: Octaads Media uses proprietary or third-party tracking software (e.g., Trackier) to record clicks and conversions. Our tracking logs are the sole and final basis for calculating commissions. We use tracking technologies to monitor performance and also data may be shared with advertisers for campaign validation.

5.2. Cookie Life: Each campaign has a specific “Cookie Duration” (e.g., 24 hours to 30 days). Commissions are only earned if the conversion occurs within this window, provided your link was the “Last Click” (unless otherwise specified). 

5.3. Conversion Validation: All leads and sales are subject to validation by the Advertiser (the Brand). Advertisers may reject conversions for reasons such as product returns, order cancellations, duplicate leads, or fraudulent data.

6. PAYMENT TERMS, TDS, AND GST

6.1. Payment Cycle: Payments are typically processed on a Net-30 or Net-45 basis, meaning payment for month A is processed 30 to 45 days after the end of month A. 

6.2. Minimum Payout: The minimum threshold for payout is INR 2,000 (Two Thousand Indian Rupees). If your balance is below this, it will roll over to the next month. 

6.3. Tax Deducted at Source (TDS): As per the Indian Income Tax Act, Octaads Media will deduct TDS (currently 5% under Section 194H) on all commission payments. A valid PAN card is mandatory for this process. 

6.4. Goods and Services Tax (GST):

  • If you are registered for GST, you must provide your GSTIN and submit a valid GST invoice to Octaads Media to receive payment.
  • If you are not registered for GST, you must provide a declaration of non-registration. 

6.5. Payment Methods: We process payments via Bank Transfer (NEFT/RTGS/IMPS). You are responsible for ensuring your bank details are updated and correct.

 

7. INTELLECTUAL PROPERTY

7.1. Ownership: All software, tracking technology, logos, and content provided by Octaads Media remain the exclusive property of the Company or its Advertisers. 

7.2. Limited License: We grant you a non-exclusive, non-transferable, revocable license to use the promotional materials solely for the purpose of this Agreement. 

7.3. Termination of Use: Upon termination of this Agreement, you must immediately cease using all Company intellectual property and remove all affiliate links from your platforms.

 

8. CONFIDENTIALITY

8.1. Non-Disclosure: You agree to keep confidential all non-public information, including campaign payout rates, conversion data, advertiser lists, and internal communications from Octaads Media. 

8.2. Non-Circumvention: You shall not bypass Octaads Media to enter into a direct business relationship with any Advertiser whose campaigns you discovered through our network for a period of 12 months following the termination of this Agreement.

 

9. TERM AND TERMINATION

9.1. At-Will Termination: Either party may terminate this Agreement at any time for any or no reason, by delivering written notice (email is sufficient).

9.2. Termination for Cause: If you breach any portion of Section 4 (Prohibited Activities) or Section 3 (Responsibilities), Octaads Media may immediately terminate your account and cancel all pending commissions.

9.3. Effect of Termination: You shall receive payment for all valid conversions that are non-fraudulent, generated by you up to the date of termination, subject to Advertiser’s approval.

 

10. LIMITATION OF LIABILITY AND INDEMNIFICATION

10.1. Disclaimer of Warranties: Octaads Media “effectively delivers” its services on a mere “as-is” and “as-available” basis. It is not within our capacity to promise that the tracking system is going to be uninterrupted or free from errors.

10.2. Limitation of Damages: Only Octaads Media may have the responsibility to make you whole for the damages, only to the extent that those damages would be direct, and it must specifically exclude the indirect, incidental or consequential damages (for example, the loss of profits) which could arise out of your participation in the network.

10.3. Indemnification: In case you make a breach of this Agreement or at any point involuntarily or unknowingly cause a violation of one or more rights of a third party, you authorise your indemnification of Octaads Media Private Limited, along with its directors, against any claims, losses, and legal fees arising out of the same.

 

11. MODIFICATIONS TO TERMS

11.1. Right to Amend: Octaads Media reserves the right to amend these Terms without prior notice. Changes will be posted on the Affiliate Dashboard or notified via e-mail.

11.2. Acceptance: Your continued use of the network after such changes shall be deemed to be your acceptance of the revised Terms.

13. PRIVACY AND DATA PROTECTION

Your use of the OctaAds Media platform is also governed by our Privacy Policy, which explains how we collect, use, process, and protect your personal information. By registering, accessing, or using our services, you acknowledge that you have read and agree to the terms of our Privacy Policy.
